Salem Speaker Bureau Affiliate Program
Affiliate Terms of Service

By applying to, accessing, or participating in the Salem Speaker Bureau Affiliate Program, you agree to be legally bound by these Affiliate Terms of Service. If you do not agree, do not participate.
1. Parties
This Agreement is entered into by and between:
EZMetrics LLC, a Michigan based limited liability company, operating under Salem Speaker Bureau and SalemSpeakers.com, including all related brands, products, programs, services, websites, and properties
referred to as the “Company,” “we,” “us,” or “our”
and
The Affiliate, being the individual or entity participating in the affiliate program
referred to as “Affiliate,” “you,” or “your”
2. Independent Contractor Relationship
Affiliate acknowledges and agrees that:
• Affiliate is an independent contractor
• Affiliate is not an employee, partner, joint venturer, agent, or representative of the Company
• Affiliate has no authority to bind the Company or speak on its behalf
• Affiliate may not represent themselves as employed by or partnered with the Company
Nothing in this Agreement creates an employment, partnership, franchise, fiduciary, or agency relationship.
3. Affiliate Conduct and Representations
Affiliate agrees to market the Company ethically and lawfully.
Affiliate may not:
• Make income, earnings, or results guarantees
• Misrepresent pricing, services, or outcomes
• Impersonate Company staff, leadership, or ownership
• Claim endorsement, partnership, or direct involvement by the Company
• Engage in deceptive, misleading, or unlawful marketing practices
Affiliate is solely responsible for all statements, claims, and representations made in connection with their marketing.
4. No Responsibility for Affiliate Statements
The Company is not responsible for anything said, written, promised, implied, or represented by Affiliate.
All Affiliate communications are made solely by Affiliate and at Affiliate’s own risk.
Affiliate agrees to fully indemnify and hold harmless the Company for any claims, losses, damages, or liabilities arising from Affiliate actions or statements.
5. Brand, Name, and Likeness
Affiliate is granted a limited, revocable, non exclusive license to use Company approved brand assets solely for affiliate promotion.
Affiliate acknowledges:
• No ownership rights are granted
• All trademarks, names, likenesses, and intellectual property remain the sole property of the Company
• Affiliate may not alter, distort, or misuse brand assets
• Affiliate may not use the name Jacob Salem in any manner that implies endorsement, partnership, or personal involvement
The Company may revoke brand usage rights at any time without notice.
6. Commission Structure
Affiliate may earn 30 percent recurring commissions on qualifying paid referrals tracked through approved affiliate links.
Commissions apply only while the referred customer:
• Remains active and paid
• Is in good standing
• Has not requested a refund or filed a chargeback
If a customer cancels for any reason, commissions stop immediately.
7. Refunds, Chargebacks, and Clawbacks
Affiliate acknowledges and agrees that:
• If a customer receives a refund or files a chargeback, the related commission is void
• Any previously credited commission will be deducted from future payouts
• Affiliate will never be required to repay money directly
• Clawbacks apply only against commissions otherwise owed
8. Payment Schedule
• Commissions are paid on the first calendar day of each month
• If the first falls on a non business day, payment is made on the nearest following business day
• All payments are processed through GoHighLevel
Affiliate is responsible for maintaining accurate payment and tax information.
The Company is not responsible for delays caused by incorrect information or third party processors.
9. Taxes
Affiliate is solely responsible for all federal, state, and local taxes related to commissions earned.
The Company does not withhold taxes on Affiliate’s behalf.
10. Termination
The Company may terminate Affiliate participation at any time, with or without cause, at its sole discretion.
Upon termination:
• All licenses granted under this Agreement immediately terminate
• All unpaid, pending, or future commissions are forfeited
• Affiliate must immediately cease all promotion of Company products and services
11. Non Disparagement
Affiliate agrees that during and after participation in the affiliate program, they will not make, publish, or communicate any false, misleading, defamatory, or disparaging statements regarding:
• EZMetrics LLC
• Salem Speaker Bureau
• SalemSpeakers.com
• Jacob Salem personally
• Any Company programs, services, staff, contractors, or representatives
This includes but is not limited to statements made on social media, websites, podcasts, videos, interviews, private groups, or direct communications intended to harm reputation or goodwill.
This obligation survives termination of this Agreement.
12. Limitation of Liability
To the maximum extent permitted by law:
• The Company shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the commissions paid to Affiliate in the prior 30 days
13. Indemnification
Affiliate agrees to indemnify, defend, and hold harmless:
• EZMetrics LLC
• Salem Speaker Bureau
• SalemSpeakers.com
• Jacob Salem personally
• All officers, contractors, employees, and representatives
from any claims, losses, damages, costs, or legal fees arising from Affiliate actions, statements, or marketing activities.
14. Governing Law and Venue
This Agreement shall be governed by and interpreted under the laws of the State of Michigan.
Any dispute shall be resolved exclusively in state or federal courts located in Michigan.
15. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or representations.
If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
16. Acceptance
By checking the box labeled “I agree to the Affiliate Terms of Service”, Affiliate confirms that they have read, understood, and agreed to be legally bound by this Agreement.
